Terms of Service.

The rules that govern engagements with Stackleaf Studio. Last updated April 30, 2026.

1. Agreement

These Terms of Service ("Terms") govern your use of stackleaf.studio and any consulting engagement with Stackleaf Studio ("we," "us"). By submitting an enquiry, booking a discovery call, or signing a proposal with us, you agree to these Terms.

If you are entering into an engagement on behalf of a company, you confirm you have authority to bind that company to these Terms.

2. Services

Our standard service is a 14-day fixed-fee Zoho audit-and-fix engagement. Each engagement consists of:

  • Day 1 to 3: full audit of your existing Zoho instance, delivered as a written report identifying the top 5 highest-ROI quick wins.
  • Day 4 to 10: implementation of those 5 quick wins inside your Zoho tenant. Each fix is tested before handover.
  • Day 11 to 14: training (Loom-style video walkthrough plus a 30-minute handover call).
  • Two weeks of post-delivery support over WhatsApp or email at no additional cost.

The exact scope of any engagement is defined in a written proposal. The proposal supersedes anything inconsistent in these general Terms.

3. Out of scope

Unless explicitly written into a proposal, the following are out of scope of any engagement:

  • Purchase or recommendation of new software subscriptions
  • Migration off Zoho or onto a different CRM
  • Custom Zoho Creator app development beyond the 5 quick wins
  • Multi-month engagements
  • Work performed outside business hours or on weekends

4. Pricing and payment

Our standard audit-and-fix engagement fee is Rs 15,000 to Rs 25,000, fixed at proposal stage based on scope. Optional retainer engagements are Rs 3,000 to Rs 8,000 per month, billed monthly in advance with no lock-in.

Payment terms for audit-and-fix engagements:

  • 50 percent of the fee is due as advance, on confirmation of engagement
  • 50 percent is due on delivery of training and handover
  • Payment by UPI or direct bank transfer to a single Indian account specified in the invoice
  • Invoices are due on receipt

We do not invoice in any currency other than Indian Rupees (INR). For clients outside India, we may agree to invoice in USD at the agreed exchange rate at proposal stage.

5. Cancellation and refunds

Because each engagement is fixed-fee and short-duration:

  • If you cancel before kickoff, we refund 100 percent of the advance.
  • If you cancel during the audit phase (Day 1 to 3), we refund 50 percent of the advance.
  • If you cancel after we have begun implementation (Day 4 onward), the advance is non-refundable but we will deliver the audit report and any wins shipped to date.

If we cancel an engagement (rare, but possible if the work turns out to be materially out of scope), we refund 100 percent of the advance regardless of stage.

6. Confidentiality

We treat all information you share with us during a discovery call or paid engagement as confidential. We will not disclose your name, your data, your workflows, or any anonymised case study without your explicit written consent.

You agree to treat our methods, prompts, templates, and proprietary content as confidential. You are free to use anything we ship inside your own Zoho tenant, but you may not resell, repackage, or republish our materials.

We will sign a separate Non-Disclosure Agreement on request, at no charge, before any discovery call or proposal exchange.

7. Data handling

We never copy raw data out of your Zoho tenant. All implementation happens inside your Zoho instance using a temporary admin or service account that you control and can revoke at any time. See our Privacy Policy for full details on data we collect from prospects and clients.

8. Intellectual property

You retain full ownership of your business data, your Zoho tenant, your workflows, and any output we produce inside your tenant for your specific use.

We retain ownership of our methods, templates, prompts, audit frameworks, training scripts, and any other materials we use across multiple clients. You receive a perpetual, non-exclusive, non-transferable licence to use anything we ship inside your tenant for your own internal business operations.

9. Warranties and disclaimers

We deliver our work to a professional standard and we test every workflow before handover. We do not warrant that the workflows we ship will produce any specific business outcome (revenue increase, cost savings, conversion rate, etc.). Outcomes depend on factors outside our control including how your team adopts the workflows.

We are not Zoho Corporation. We do not warrant Zoho's own platform, uptime, or product roadmap.

Our services are provided "as is." Beyond the express obligations in these Terms and any signed proposal, we disclaim all implied warranties to the maximum extent permitted by Indian law.

10. Limitation of liability

Our total cumulative liability to you under any engagement is limited to the fees you have actually paid us under that engagement.

We will not be liable for indirect, consequential, incidental, or special damages, including but not limited to lost profits, lost revenue, lost business opportunity, or data loss caused by third-party service providers (including Zoho, Netlify, or Cloudflare).

Nothing in these Terms limits liability that cannot be limited under applicable Indian law.

11. Termination

Either party may terminate an engagement on written notice if the other party breaches a material obligation and fails to cure the breach within 7 days of receiving written notice of the breach.

Provisions that by their nature should survive termination (confidentiality, intellectual property, limitation of liability, governing law) survive.

12. Governing law and jurisdiction

These Terms are governed by the laws of India. Any dispute arising from these Terms or any engagement with Stackleaf Studio will be resolved in the courts of competent jurisdiction in India.

Before commencing any legal action, the parties agree to first attempt resolution by good-faith discussion for at least 30 days.

13. Changes to these Terms

We may update these Terms occasionally. The "Last updated" date at the top will reflect the most recent change. Existing engagements continue under the version of the Terms in effect when the engagement was signed unless both parties agree in writing to apply the updated Terms.
